Welcome to 5PM. By accessing or using our workplace management platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

5PM is a comprehensive workplace management platform that provides:

• Team management and collaboration tools
• Employee activity tracking and reporting
• Workspace organization and administration
• Integration with third-party authentication providers
• Data analytics and insights for workplace productivity

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service

The Service and its original content, features, and functionality are owned by 5PM and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data or content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You acknowledge that you are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining necessary consents from your employees or team members.

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information and authorize recurring charges
• Accept that fees are non-refundable unless otherwise stated
• Acknowledge that we may modify pricing with 30 days' notice

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 5PM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Provisions that by their nature should survive will remain in effect

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which 5PM is established, without regard to conflict of law principles.
